These terms and conditions will apply when you subscribe to our publications, access our website and use our on-line subscription service. Before proceeding to place a subscription, we ask that you read these terms and conditions carefully. You will also find that they contain some useful advice on how to use our on-line subscription service.

3. Formation of Contract

(1) Set out below is a useful summary of the steps which you must follow in order to conclude a legally binding subscription contract with us:

A: Provided that you agree unconditionally to these terms and conditions and you mark as such on the subscription form, your subscription application will be accepted by us.

B: On receipt, we will send to you notification by electronic mail that your subscription application has been received. If your application is accepted we will send you notification by email within 3 working days. Upon receipt of such notification a legally binding contract will have been formed between us. We reserve the right not to process your application for a subscription and accordingly, we will notify you by electronic mail if this is the case.

If you do not wish to proceed, you should click on the "back" button and you will return to the previous page.

(2) Please note that while we guarantee to send to you a notification of every valid subscription we receive from you, you will understand that we cannot equally guarantee that the notification we send will be received by you, nor that, if it is received by you, it is legible and uncorrupted.

(3) These terms and conditions (as may be varied from time to time) shall override any contrary terms or conditions published by us or appearing on this website in relation to any subscription placed by you with us.

4. Conditions of Use of the Creditflux website and subscription service

(1) There are some situations where we cannot accept a subscription, and in the subscription form, you will be asked to enter your personal information. You will ensure that your responses are not misleading or inaccurate, and accordingly you acknowledge that we are reliant upon you to complete the subscription form accurately. You agree to notify us immediately of any changes to your Personal Information especially your email and postal address. Your future access to the secure areas of the website will be enabled through the recognition of your email address and the use of cookies. Cookies are small amounts of information that are sent to and are stored on your computer. They are used to identify you when you visit the website. Your computer must be cookie enabled for our access system to work. If your computer or office network deletes cookies we cannot guarantee your future access to the website.

(2) You agree not to post or transfer to our website (nor include in any message) any material which is obscene, misleading, inaccurate, defamatory, illegal, in breach of any copyright or other intellectual property right, or damaging to data, software or the performance of our or any other parties' computer system. You agree to indemnify us in respect of any liabilities, losses, expenses, or other costs whatsoever incurred as a result of a breach of your obligation under this condition 3(2), including, but not limited to, any claims made against us by any third party.

(3) The Data Protection Act 1998 is designed to protect individuals about whom information is entered and stored on computer and other systems. Accordingly, it lays down strict standards of accuracy, relevance and care of such data including how it may be divulged. Any data about individuals you enter onto our website directly or include in any message to us will be subject to the Act and you are responsible for its accuracy and relevance and must have the authority to disclose it and for us to utilise it for the purposes of any transaction concluded for or by you through this website.

(4) In consideration of agreeing to your use of the Creditflux website and service, you acknowledge that the ownership in any intellectual property rights (including, for the avoidance of doubt, copyright) in this website and any Creditflux publications belong to us. Accordingly, any part of the Creditflux publications and website (or its source HTML code) may not be used, transferred, copied or reproduced in whole or in part in any manner other than for the purposes of utilising this website meaning that you may only display it on your computer screen and print it out on your printer for the sole purpose of viewing its content.

(5) You may only use the trademarks featured in our website for the purpose of displaying this website on your computer screen. Print outs of any material appearing on this website are only permitted under licence from us. If you wish to obtain a print licence please contact us by email at: admin@creditflux.com.

(6) You may not link the Creditflux website to any other website without our express written consent. Furthermore, we do not make any warranties, representations or undertakings about the content of any other website which may be referred to or accessed by hypertext link with this website, and we do not endorse or approve the content of such third party websites.

(7) We will collate the information which you give to us in the subscription form to provide you with our on line and print subscription service. By giving us this information, you consent to our use of it in order to process your subscription.

(8) We have the right, but not the obligation, to monitor any activity and content associated with the Creditflux website. We may investigate any reported violation of these Conditions or complaints and take any action that we deem appropriate (which may include, but is not limited to, issuing warnings, suspending, terminating or attaching conditions to your access and/or removing any materials on the Website and/or the Services).

(9) Please be aware that to the fullest extent permitted by law, we do not accept liability in respect of this website, your use of it or our on-line subscription service.

(10) Use of this website is subject to the laws of England and Wales, and the exclusive jurisdiction of the English Courts.

5. Description and Pricing

Your subscription includes twelve monthly issues Creditflux and online access to our website. The price of the subscription is as set out in the subscription form. Your subscription will run from the 1st date of the month immediately following receipt of your application. We may, at our discretion, initiate your online access before the start of your subscription, once your order has been processed.

6. Delivery and Risk

Any print issues of Creditflux will be posted to you. We do not accept any liability for any damage or loss to copies of the news journal once they have been posted. We may agree to replace lost or damaged editions at our absolute discretion.

7. Payment

If you choose to pay by credit card you hereby represent that you are the owner, holder and duly authorised user of the credit card specified by you in our registration form, and you agree that we are authorised to take the stated payment from your account in respect of your subscription. We agree that we will not use your details to process any further payment from your account unless instructed to do so by you and for the avoidance of doubt we will not take payment for renewal of your subscription unless instructed to do so by you.

If you choose to pay upon receipt of an invoice, this will be sent by electronic mail in the week following acceptance of your order(s).

Payment terms are 30 days from date of invoice. For those making payments by bank transfer we must receive a bank remittance as proof of payment. Upon receipt your account will be considered settled.

If you do not comply with the payment terms you will be sent notification by email informing you that your access www.creditflux.com has been restricted. If your service to www.creditflux.com is suspended we will endeavour to reinstate it within 24 hours following payment.

We reserve the right, at any time, to change the subscription payments and billing methods. You will be notified of such changes by e-mail. Your continuing use of the Services after notification will constitute acceptance of such changes. We reserve the right to terminate your account immediately without further notice if you do not accept any such changes.

All transactions containing card information that are transmitted over the internet will be over SSL, encrypted using a standard web server certificate from thawte.com, no emails will contain credit card information. Our web site is hosted on a stand-alone server, all credit card information is encrypted (using Windows CryptoAPI functions) before being stored on the web server; credit card information is retrieved from the server over SSL, all credit card information is deleted after it has been retrieved from the server. We will not store any credit card information electronically once it has been retrieved from the server

8. Renewals

We will warn you at least 30 days in advance that your subscription agreement is due to end. You will be notified by electronic mail and asked to renew the agreement. If you do not wish to renew you should reply letting us know your intentions. If we do not receive payment for your renewal prior to the end of this subscription agreement your subscription will be terminated and you will be notified by email that this has occurred.

9. Right to withdraw

You have the right to withdraw from the contract without penalty and without the need to give us any reason, at any time during a period of 30 days which shall begin from the day after the day you receive our acceptance of your subscription application. We agree to reimburse you, free of charge, within 30 days of notification of withdrawal, the subscription fee (less the pro-rated costs of the first issue).

After this period a subscription cannot be cancelled but if a member of staff leaves the company can request that the subscription is put in the name of another member of staff. Individuals who move companies cannot request that the subscription is moved to their new employer unless they have personally paid for the subscription.

10. Warranties and Liability

Whilst every effort has been made to ensure the high quality and accuracy of the Website, Creditflux Limited does not give any warranty or other assurance as to the operation, quality or functionality of the Site or its fitness for any particular purpose. Access to the Site may be interrupted, restricted or delayed for any reason. Similarly, Creditflux does not give any warranty or other assurance as to the content of the material appearing on the website or in the publication, its accuracy, completeness, timeliness or fitness for any particular purpose. To the full extent permissible at law, Creditflux disclaims all responsibility for any damages or losses (including, without limitation, financial loss, damages for loss in business projects, loss of profits or other consequential losses) arising in contract, tort or otherwise from the use of or inability to use the Site or any material appearing on the Site, or from any action or decision taken as a result of using the website or any such material.

You are responsible for all use of the Site made using your user ID, whether or not the use is made by you or by someone else using your user ID. You are responsible for protecting and securing your user ID from unauthorised use. If you believe there has been a breach of security of your user ID, such as theft or unauthorised use, you should notify Creditflux Limited immediately by e-mail to admin@creditflux.com

11. Termination

This agreement will continue for as long as you are a valid and fully paid-up subscriber. We reserve the right to terminate your subscription at any time if you do not abide by these terms and conditions. We will not refund any subscription fees.

12. Events beyond our control

We do not take responsibility for any event which is outside our reasonable control nor for any consequential loss arising from such an event.

13. Entire Agreement

This agreement supersedes any prior agreements or arrangements which may have subsisted between us, (provided the information you have given to us is not incorrect or fraudulent) and constitutes the entire agreement between the parties relating to the subject matter hereof

14. Privacy

(1) We respect your personal information and aim to comply with applicable Data Protection legislation from time to time in place.

(2) if we are requested by any regulatory or governmental authority, or upon receipt of a court order, or (in our view, exercised reasonably but at our discretion) legitimate request by a third party in investigating illegal activities to provide information concerning your activities whilst using Website and/or the Services we shall do so. Similarly, we will disclose your personal data if we are compelled to do so by law. We reserve the right to notify or provide such information to the relevant authority or party if, in our sole opinion, we believe an emergency, illegal activity or some other reasonable basis exists for us doing so;

(3) we reserve the right to store and use your personal data solely for our own internal purposes and we further reserve the right to access, monitor and retrieve password-protected information and to change or alter incorrect or incomplete data in order to fulfil our obligations in these terms and conditions

15. Interpretation

In this Agreement:

(1) reference to any statute or statutory provision includes a reference to that statute or statutory provision as from time to time amended, extended or re-enacted;

(2) words importing the singular include the plural, words importing any gender include every gender and words importing persons include bodies corporate and unincorporate; and (in each case) vice versa;

(3) any reference to a party to this Agreement includes a reference to his successors in title and permitted assigns;

(4) the headings to the Clauses are for ease of reference only and shall not affect the interpretation or construction of this Agreement.

16. Governing Law

This agreement is deemed to have been made in England and is governed by English Law. Any dispute relating to this agreement shall be referred to the English courts.

17. Severability

Notwithstanding that the whole or any part of any provision of this Agreement may prove to be illegal or unenforceable the other provisions of this Agreement and the remainder of the provision in question shall remain in full force and effect.
